The Board of Directors of Aroundtown Property Holdings PLC (the "Company"), pursuant to the articles of association, resolved today to increase company's total share capital through an issue of up to 80,000,000 new ordinary shares with a par value of EUR 0.01 each, against cash contributions, by exercising the authorized capital of the Company. The new shares will be issued at the placement price of EUR 3.20. Subscription rights of existing shareholders were excluded. Berenberg as Sole Global Coordinator and Joint Bookrunner and Société Générale Corporate & Investment Banking as Joint Bookrunner will offer the new shares to institutional investors in European Economic Area (EEA) by means of a private placement. There will be no public offering. The Board of Directors will specify the exact number of new shares to be placed to investors as well as the issue price per new share by separate resolution. The Company intends to use the net proceeds from the capital increase to fund the Company's growth strategy. The new shares will be listed on the open market (Marché Libre Paris Stock Exchange) of Euronext Paris.
