Successful placement of convertible bonds

Aroundtown Property Holdings PLC (the "Company") announces the successful private placement of EUR 300 million unsubordinated, unsecured bonds convertible into new ordinary shares having a par value of EUR 0.01 (the "Shares") of the Company (the "Bonds").

The Bonds were placed by the Company with institutional investors; with a coupon of 1.5% p.a., payable semi-annually in arrear, a maturity of approximately 5.1 years, at an issue price of 97.05% of their principal amount and the Bonds will be redeemed on the maturity date at par value. The initial conversion price was set at EUR 5.7926 based on a conversion premium of 42.5% above the volume-weighted average price of the shares on the Alternext market of Euronext Paris between launch and pricing. Settlement is expected to take place on or around 18 December 2015.
The Company intends to apply for the inclusion of the Bonds to trading on the Open Market (Freiverkehr) of the Frankfurt Stock Exchange.
The Company intends to use the amount raised in the Offering to fund its growth strategy.

Berenberg, Deutsche Bank AG, London Branch and Société Générale Corporate & Investment Banking acted as Joint Bookrunners in relation to the Offering.
